Techdollar First 50 Promotion — Official Rules
These official rules (the “Official Rules”) govern the Techdollar first 50 promotion (the “Promotion”). By participating, you accept and agree to be bound by these Official Rules and by the decisions of the Sponsor, which are final and binding in all matters relating to the Promotion. The Promotion is subject to all applicable federal, state, and local laws and regulations.
1. Sponsor and administrator
The Promotion is sponsored by Techdollar Foundation, a Delaware corporation, located at 131 Continental Drive, Suite 305, Newark, Delaware, 19713 (the “Sponsor”). The Promotion is administered by Techdollar Foundation (the “Administrator”). Where these Official Rules reference the Sponsor, the Administrator is acting on the Sponsor’s behalf.
The Promotion is in no way sponsored, endorsed, administered by, or associated with Dr. Ing. h.c. F. Porsche AG, Porsche Cars North America, Inc., or any of their affiliates (collectively, “Porsche”). “Porsche” and all related names, marks, and model designations are trademarks of their respective owners and are used in these Official Rules for descriptive purposes only.
2. Promotion period
The Promotion begins at 8am Eastern Time on June 26, 2026 and ends at the earlier of (a) 8am Eastern Time on December 31, 2026 or (b) the moment the fiftieth (50th) qualifying loan is funded (the “Promotion Period”). The Sponsor’s records are the official record of funding times and amounts for all purposes under these Official Rules.
3. Eligibility
The Promotion is open only to natural persons who, as of the date their loan is funded, are (a) legal residents of the fifty United States or the District of Columbia, and (b) at least eighteen (18) years of age or the age of majority in their state of residence, whichever is older.
The following persons are not eligible: officers, directors, members, managers, employees, contractors, and agents of the Sponsor, the Administrator, and their respective parents, affiliates, and subsidiaries, and the immediate family members (spouse, parent, child, sibling, and their respective spouses) and household members of each such person.
Eligibility to borrow on Techdollar is governed separately by the applicable loan documents, the Sponsor’s underwriting criteria, and applicable securities and lending law. Borrowing on Techdollar involves material risk, including the risk of loss of pledged collateral. The Promotion is void wherever prohibited or restricted by law.
4. How to win
4.1 The first 50
The “First 50” are the first fifty (50) eligible borrowers whose loans are fully funded on Techdollar during the Promotion Period, determined by funding time according to the Sponsor’s records. Whether and when a loan is funded is determined solely by the Sponsor in accordance with its ordinary application, underwriting, and funding process. Submitting an application does not guarantee funding or inclusion in the First 50.
4.2 Determination of the winner
The winner is the member of the First 50 whose loan has the largest original principal amount funded during the Promotion Period (the “Funded Principal”). Funded Principal means the original principal amount advanced at funding and does not include fees, original issue discount, accrued interest, or any later draw, increase, or refinancing. The winner is determined by an objective, ascertainable measure and not by chance.
If two or more members of the First 50 have an equal largest Funded Principal, the winner is the one whose loan was funded earliest, by timestamp according to the Sponsor’s records. The Sponsor’s books and records are determinative of all funding times and amounts and of the identity of the winner.
4.3 Independence of loan terms
The terms of any loan, including principal, rate, tenor, fees, and collateral requirements, are set independently of the Promotion through the Sponsor’s ordinary underwriting and are not altered, discounted, increased, or otherwise affected by the Promotion. The Promotion does not change the Sponsor’s suitability or underwriting standards, and no borrower should apply for, accept, or increase a loan for the purpose of the Promotion. Borrow only what is appropriate for you. Nothing in these Official Rules is an offer of credit, a commitment to lend, or an offer to sell or a solicitation of an offer to buy any security.
5. Winner verification
The apparent winner is subject to verification by the Sponsor before the prize is awarded. The Sponsor may verify identity, residency, age, eligibility, and the funding time and amount of the relevant loan against its records. An apparent winner who cannot be verified, or who is found ineligible or in breach of these Official Rules or the applicable loan documents, will be disqualified, and the prize will pass to the member of the First 50 with the next-largest Funded Principal, applying the tiebreaker in Section 4.2 as needed.
6. Prize
One (1) prize will be awarded: the use of one (1) 2024 Porsche GT3 (the “Vehicle”) for a period of twelve (12) consecutive months (the “Use Term”), subject to these Official Rules and to a separate vehicle use agreement described in Section 7.
Approximate retail value of the prize (“ARV”): $80,000, representing the Sponsor’s good-faith estimate of the fair market value of twelve (12) months’ use of the Vehicle. The actual value may vary. The winner is not entitled to any difference between the ARV and the actual value.
The prize includes: standard manufacturer maintenance during the Use Term; registration; and primary automobile insurance arranged by or acceptable to the Sponsor, subject to the limits and deductibles stated in the vehicle use agreement. The prize does not include: fuel or charging; tolls; parking; fines, tickets, or citations; any usage beyond 60,000 miles during the Use Term; any tax; or any cost or liability not expressly stated as included. The Sponsor retains legal title to the Vehicle at all times. At the end of the Use Term the winner must return the Vehicle in the condition required by the vehicle use agreement, ordinary wear excepted.
No cash or other substitution of the prize is permitted, except that the Sponsor reserves the right, in its sole discretion, to substitute a prize of equal or greater value, or the cash equivalent of the ARV, if the advertised prize becomes unavailable for any reason. The prize is awarded “as is” without warranty of any kind, express or implied, except as required by law and except for any warranty provided by the manufacturer.
7. Prize conditions
To receive and use the prize, the winner must, at the time of claim and throughout the Use Term: (a) hold a valid, unrestricted driver’s license; (b) be insurable under the insurance arranged for the Vehicle; (c) be at least twenty-five (25) years of age, or the minimum age required by the applicable insurer, whichever is greater; and (d) execute a separate vehicle use agreement with the Sponsor governing title, insurance, permitted and prohibited use, geographic limits, the mileage cap, liability allocation, indemnity, default, early termination, and return condition (the “Vehicle Use Agreement”). The Vehicle Use Agreement controls the terms of the winner’s possession and use of the Vehicle. Failure to satisfy any condition, or refusal to execute the Vehicle Use Agreement, results in forfeiture of the prize.
The Vehicle may not be sublet, assigned, pledged, used for commercial transport of persons or property for hire, taken outside the continental United States, or operated in violation of law. The prize is non-transferable. Possession and use of the Vehicle is at the winner’s own risk.
8. Taxes
All federal, state, and local taxes on the prize, including any income tax arising from the receipt or use of the prize, are the sole responsibility of the winner. The Sponsor will report the value of the prize as required by law and will issue an IRS Form 1099 reflecting the ARV or other value as required. As a condition of receiving the prize, the winner must provide a completed IRS Form W-9. The winner is advised to consult a tax professional.
9. Winner notification and claim
The winner will be notified using the contact information associated with the relevant loan, on or about [notification date]. The winner must respond and complete the claim process within [number] days of first attempted notification. Within that period the winner must execute and return (a) an affidavit of eligibility, (b) a liability release, (c) a publicity release except where prohibited, (d) an IRS Form W-9, and (e) the Vehicle Use Agreement.
If the winner cannot be contacted, fails to respond or to return required documents within the stated period, declines the prize, is found ineligible, or otherwise fails to comply with these Official Rules, the prize may be forfeited and awarded to the member of the First 50 with the next-largest Funded Principal, applying the tiebreaker in Section 4.2 as needed. Return of any notification or prize as undeliverable results in forfeiture.
10. Publicity
Except where prohibited by law, acceptance of the prize constitutes the winner’s consent to the Sponsor’s use of the winner’s name, city and state of residence, likeness, photograph, voice, and statements about the Promotion, for advertising, promotional, and publicity purposes, in any media now known or later developed, worldwide, in perpetuity, without further notice, review, approval, or compensation.
11. General conditions
The Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the Promotion or its administration, acting in violation of these Official Rules or the applicable loan documents, or acting in a disruptive or fraudulent manner.
If the Promotion is not capable of running as planned for any reason the Sponsor deems to corrupt or impair its administration, security, fairness, integrity, or proper conduct, including tampering, unauthorized intervention, fraud, technical failure, or causes beyond the Sponsor’s reasonable control (force majeure), the Sponsor reserves the right, in its sole discretion, to suspend, modify, or terminate the Promotion and to award the prize on the basis of the qualifying loans funded before such action, applying Sections 4 and 5. The Sponsor reserves the right to amend these Official Rules at any time, subject to applicable law.
12. Release and limitation of liability
By participating, each member of the First 50 releases and agrees to hold harmless the Sponsor, the Administrator, and their respective parents, affiliates, subsidiaries, and the officers, directors, members, managers, employees, contractors, and agents of each (collectively, the “Released Parties”) from and against any and all claims, liabilities, injuries, losses, and damages of any kind arising out of or in connection with the Promotion, participation in the Promotion, or the acceptance, possession, use, or misuse of the prize, including the operation of the Vehicle, to the fullest extent permitted by law.
The Released Parties are not responsible for: incorrect or inaccurate information; technical or human error; or injury or damage to any person or property related to participation in the Promotion or receipt or use of the prize. To the fullest extent permitted by law, in no event will the Released Parties be liable for any indirect, incidental, special, punitive, or consequential damages.
13. Disputes; governing law; arbitration
Except where prohibited, each participant agrees that these Official Rules and any dispute arising out of or relating to the Promotion will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
Any dispute arising out of or relating to the Promotion or these Official Rules will be resolved by final, binding, and confidential arbitration before JAMS under its Streamlined Arbitration Rules and Procedures then in effect, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction. Each participant agrees that any claim must be brought in the participant’s individual capacity and not as a plaintiff or class member in any purported class or representative proceeding, and waives the right to a trial by jury and the right to participate in a class action. Any claim must be brought within one (1) year after it arises or be forever barred. This Section does not apply to the extent prohibited by the law of the participant’s state of residence.
14. Nature of the promotion; void where prohibited
The Promotion is a merit-based contest. The winner is determined solely by an objective, ascertainable measure, the largest Funded Principal, and no element of chance determines the outcome. The Promotion is not a lottery, sweepstakes, raffle, or game of chance. The Promotion is void wherever contests of this nature are prohibited or restricted by law.
15. Privacy
Information used in connection with the Promotion is subject to the Sponsor’s privacy policy at techdollar.com/terms. Information collected in connection with a loan application or account is governed by the applicable loan documents and privacy policy and is used for the Promotion only to identify the First 50 and the winner.
16. No financial, investment, legal, or tax advice
Nothing in these Official Rules or in any Promotion materials constitutes investment, financial, legal, or tax advice, an offer of credit, or an offer to sell or a solicitation of an offer to buy any security. The decision to apply for or accept a loan on Techdollar is independent of the Promotion and should be made on the basis of the applicable loan documents and the participant’s own assessment, in consultation with the participant’s own advisors. The Promotion does not alter the Sponsor’s underwriting or suitability standards, and no person should borrow, or borrow more, for the purpose of the Promotion. Lending products offered by or through the Sponsor involve material risk, including the risk of loss of pledged collateral.
17. Winner identity
For the identity of the winner, available after December 2026, send a stamped, self-addressed envelope to: Techdollar first 50 promotion — winner request, 131 Continental Drive, Suite 305, Newark, Delaware, 19713, to be received by December 2026. Residents of Vermont may omit return postage.
